(TSXV: VXTR; OTCQB: VXTRF) (“Voxtur” or the “Company”), a North American technology company creating a more transparent and accessible real estate lending ecosystem, is pleased to announce that further to the news release issued on May 11, 2022, the Company, together with Eight Capital, as lead agent and bookrunner, on behalf of a syndicate of agents including Laurentian Bank Securities Inc. and Cormark Securities Inc. (together, the "Agents"), has closed its brokered private placement offering (the “Offering”), issuing a total of 12,260,000 common shares (the "Common Shares") at a price of $1.02 per Common Share (the "Offering Price") for aggregate gross proceeds of approximately $12.5 million. Two institutional investors purchased the full amount of the Offering.
In connection with the Offering, the Company paid to the Agents a cash commission equal to 6% of the aggregate gross proceeds of the Offering and issued a total of 367,800 broker warrants, each entitling the holder thereof to purchase one Common Share at the Offering Price for a period of two years from the closing.
The net proceeds from the Offering are intended to be used for future acquisitions, working capital, and general
The Common Shares issued pursuant to the Offering will be subject to a hold period expiring four months and one day from the date of issue. The Offering is subject to final approval from the TSX Venture Exchange.
